Texas Petrochemicals, Inc. Holds Annual Meeting Of Stockholders And Election Of Directors
HOUSTON (Tuesday, April 18, 2006) -- TPC Group, Inc. (TPC) (OTC: TXPI.PK - News), a Houston-based petrochemical company specializing in C4 hydrocarbons, today hosted its annual meeting of stockholders. As part of the annual meeting, the stockholders elected four members to serve on the Company's Board of Directors: Mark C. Demetree, Kevin S. Flannery, Charles W. Shaver and Tyrone K. Thayer. Mr. Demetree, Mr. Flannery and Mr. Shaver were reelected to their incumbent positions on the Board of Directors.
Mr. Thayer, a new member of the Board of Directors filling the vacancy left by outgoing director Arif Gangat, whose term expired effective today, has more than forty years of experience in business operations and has held numerous executive leadership positions throughout his career. Mr. Thayer has served as Senior Vice President of Industrial Group; President of Cargill Steel & Wire; President of Cargill Worldwide Salt; Supervisor Chemical Products Division and Executive Supervisor of Cargill Fertilizer, from 1983 to 1995. During this time, Mr. Thayer served on the Technical Affairs Committee, Public Affairs Committee and the Corporate Citizenship Committee. Most recently, he served as Corporate Vice President of Cargill Incorporated, from 1995 until his retirement in 2001.
Following the annual meeting of stockholders, the Board of Directors appointed Mr. John J. Robbins to serve on the Company's Board of Directors, filling the remaining open seat on the Board of Directors.
Mr. Robbins has served as director and chairman of the audit committee for Raytech Corporation since 2003. Mr. Robbins is a retired managing partner of the New York office of Kenneth Leventhal & Estate Industry and has also served on the executive committee of the firm. His professional affiliations include the New York, California and Texas Society of Certified Public Accountants as well as the American Institute of Certified Public Accountants (AICPA) and AICPA Task Forces. Mr. Robbins currently serves as Trustee of Keene Creditors Trust and as a director and member of the Audit Committee of Hovnanian Enterprises.
In addition, the Board of Directors appointed Mr. Thayer to serve the Company on the Audit Committee and Compensation Committee. Mr. Robbins will serve the Company as the Chairman of the Audit Committee.
Mr. Gangat has served as a valuable director of the Company and his role has been instrumental in setting the foundation for the company's success.
Each of the directors will serve on the Company's Board of Directors until the Company's 2006 annual meeting of stockholders, which is anticipated for the fall of 2006.
